Welcome to PredictionXBT (the "Platform"), a permissionless social prediction markets ("we," "us," or "our"). By accessing or using the Platform, you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms govern your use of the Platform, which allows users to create prediction markets based on public posts from the X platform (formerly Twitter). The Platform is live and ready for use. Betting, fee distributions, and related transactions are conducted in $PREDICT. All activities are publicly available on the Platform for transparency and verifiability.

Predict is a young platform. We do our best to identify and fix bugs and issues, but you use the Platform at your own risk. Always do your own research (DYOR).

Betting and fee distribution are conducted in $PREDICT. By using the Platform, you acknowledge that you are solely responsible for your own decisions and that we do not provide financial, investment, legal, or tax advice.

We reserve the right to update these Terms at any time. We will notify users of material changes via the Platform or other means. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. You are responsible for complying with all applicable laws in your jurisdiction, including those related to prediction markets, cryptocurrencies, and online activities.

2. Platform Overview

PredictionXBT is a permissionless platform where users can transform any public X post into a prediction market. A "prediction market" allows participants to place bets on the outcome of events or statements derived from the content of the selected public X post (e.g., whether a prediction in the post comes true).

Market Creation: Any user can select a public X post and create a market based on it. Market creation and the criteria for resolution are generated primarily through AI systems, which analyze the content and context of the public X post in relation to real-world events on X. Since the Platform is entirely based on public X posts and events, all market parameters are automatically derived from publicly available information. The Platform only supports markets derived from publicly available X posts. We do not access, use, or permit markets based on private, restricted, or non-public content.
Betting: Users place bets on market outcomes using $PREDICT. All transactions, including bets, fees, distributions, and payouts, are conducted in $PREDICT on the Platform.
Resolution: Markets are resolved based on predefined criteria tied to the X post's content or external verifiable events. Resolution is automated and AI-based, using the context of real-world events on X to determine outcomes. In the event of a dispute regarding market resolution results, human intervention may occur to review and adjudicate the outcome. Users and community members may submit disputes through the Platform.
Transparency: All transactions, including bets, fees, distributions, shares, payouts, and per-user profit-and-loss (PnL) statements, are publicly available on the Platform. Aggregated data per market and user is available for public verification, allowing anyone to audit and verify Platform activities.

We emphasize that the Platform does not create, endorse, or verify the content of any X post used for markets. Users are solely responsible for selecting appropriate public posts, and we disclaim all liability for the accuracy, legality, or appropriateness of such content (see Section 8 for details).

3. User Accounts and Security

To use the Platform, you may need to connect a compatible wallet or create an account. You are responsible for maintaining the security of your account, wallet, and any associated credentials. We are not liable for any losses due to unauthorized access.

Your wallet address is used for transactions, fee distributions, and verifications. Ensure your wallet is compatible with the Platform and $PREDICT.

4. Fees and Distributions

The Platform charges a dynamic fee on every bet placed in a market. The fee amount varies based on factors such as market liquidity, bet size, and Platform algorithms, and will be clearly displayed before any bet is confirmed.

Fees collected are distributed as follows:

30% to Market Creators: The user who initiates and turns the public X post into a market on the Platform.
50% to Post Authors: The original author of the X post (identified via their X handle or ID).
20% to PredictionXBT: Retained by the Platform for operations, development, and maintenance.

If the market creator is the same individual as the X post author (e.g., you create a market based on your own public X post), you will receive both the market creator's share and the post author's share, totaling 80% of the fees, with the remaining 20% going to the Platform.

All fee calculations and distributions occur automatically in $PREDICT and are publicly available on the Platform for verification.

Distribution Timing: Fee distributions to market creators and post authors are processed after a market is resolved, plus a one (1) day dispute resolution period. This dispute period allows for challenges to market resolution outcomes before funds are disbursed. Once the dispute period concludes without successful challenge, distributions are automatically executed.

5. Transparency and Verification

The Platform commits to full transparency:

All transactions, including bets, resolutions, fees collected, and distributions, will be publicly available on the Platform.
Per-market aggregates (e.g., total bets, outcomes, fees) and per-user PnL sheets will be publicly available and verifiable.
Users can independently audit this data through the Platform's transparency features.

We do not guarantee uninterrupted access to this data but will make reasonable efforts to ensure its availability.

6. User Conduct and Prohibitions

You agree to use the Platform only for lawful purposes. Prohibited activities include:

Creating markets based on non-public X content.
Manipulating markets, bets, or resolutions (e.g., through collusion or bots).
Using the Platform for illegal Prediction Markets, fraud, or money laundering.
Harassing other users or violating intellectual property rights.
Attempting to hack, disrupt, or exploit the Platform.

We reserve the right to investigate and take action against violations, including suspending accounts or voiding markets.

7. Intellectual Property

The Platform, including its software, design, and branding, is owned by us or our licensors. You are granted a limited, non-exclusive license to use the Platform as provided.

X Post Ownership: The Platform exclusively transforms public X posts as-is into prediction markets. PredictionXBT does not claim any ownership, copyright, or intellectual property rights over any X post used on the Platform. All rights, title, and ownership of any X post remain solely and exclusively with the original author of that post on X, subject to X's Terms of Service. The Platform merely displays and references public X posts for the purpose of creating prediction markets and does not modify, claim, or assert any proprietary interest in the underlying content.

When creating a market based on an X post, you represent that the post is public and that you are not infringing on any third-party rights.

8. Content Disclaimer and Liability

Important Disclaimer on X Content: The Platform exclusively uses public X posts as the basis for markets. We do not create, host, moderate, or endorse any content from X. We are not responsible for the accuracy, truthfulness, legality, offensiveness, or any other aspect of X posts. Users select and interpret X posts at their own risk.

By using the Platform, you acknowledge that:

X posts may contain false, misleading, harmful, or illegal information.
We have no control over X's content policies, availability, or deletions.
Any disputes related to X content must be resolved directly with X or the post author.

We disclaim all liability for losses, damages, or claims arising from X content, market outcomes, or user actions.

9. Risks and Disclaimers

Prediction markets involve risks, including financial loss. You use the Platform at your own risk. By using the Platform, you acknowledge that:

Predict is a young platform; we do our best to identify and fix bugs and issues, but we cannot guarantee the absence of defects.
Cryptocurrency and token values (including $PREDICT) fluctuate.
Platform systems may have bugs or vulnerabilities.
Market resolutions may be disputed or incorrect.

No Financial Advice: The Platform, its content, markets, and any associated information do not constitute financial, investment, legal, or tax advice. The presence of a market on the Platform does not imply endorsement, recommendation, or solicitation to participate. Markets are created by users and reflect their opinions—not professional financial guidance. You should always do your own research (DYOR) and consult with qualified professionals before making any financial decisions. We expressly disclaim any responsibility for decisions made based on information found on the Platform.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

To the fullest extent permitted by law, we, our affiliates, and our personnel shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, even if advised of the possibility of such damages. Our total liability shall not exceed the fees paid by you to us in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

12. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause. Upon termination, your rights to use the Platform cease, but these Terms' survival provisions (e.g., disclaimers, liability limits) remain in effect.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration. You agree to waive any right to participate in class action lawsuits or class-wide arbitration against us.

14. Miscellaneous

Severability: If any provision is invalid, the remainder remains enforceable
Entire Agreement: These Terms constitute the full agreement between you and us

Addendum A: Marketing Partner Agreement

Effective Date: January 3, 2026

This Addendum A ("Addendum") supplements and forms part of the PredictionXBT Terms of Service ("Terms"). This Addendum governs the relationship between PredictionXBT ("Platform," "we," "us," or "our") and Marketing Partners ("Partner," "Marketing Partner," or "you") who engage in promotional activities with the Platform. In the event of any conflict between this Addendum and the main Terms, this Addendum shall prevail with respect to Marketing Partner relationships.

A1. Definitions and Parameters for Marketing Partners

For purposes of this Addendum, the following definitions apply:

"Marketing Partner" means any individual, entity, brand, project, or organization that has entered into a marketing or promotional arrangement with PredictionXBT, including but not limited to: promotional collaborations, co-marketing initiatives, sponsored content arrangements, brand ambassadorships, or referral partnerships. Examples include, but are not limited to, projects such as [PARTNER NAME] and similar entities.
"Partner Brand" means the Marketing Partner's trademarks, trade names, logos, brand names, slogans, taglines, visual identity elements, and any other intellectual property identifying the Marketing Partner.
"Partner Content" means any content created, owned, or controlled by the Marketing Partner, including but not limited to: public X posts, social media content, images, videos, text, graphics, and any other materials originating from the Partner.
"Promotional Materials" means any content created by PredictionXBT that references, incorporates, or is derived from Partner Brand or Partner Content for marketing or promotional purposes.
"Marketing Activities" means promotional engagements on social media platforms, including but not limited to: retweets (RT), quote retweets (QRT), replies, mentions, collaborative posts, and any other promotional interactions on X (formerly Twitter) or other platforms.

A2. Permitted Brand Elements and Promotional Materials

A2.1 Brand Elements That May Be Used: Subject to any separate written agreement between the parties, the following Partner Brand elements may be included in Promotional Materials created by PredictionXBT:

Partner's official logo(s) and wordmarks
Partner's official brand colors and visual identity elements
Partner's public X handle and profile information
Excerpts or references to Partner's public X posts
Partner's official project name and associated terminology
Public-facing imagery officially released by the Partner
Any additional elements explicitly approved in writing by the Partner

A2.2 Types of Promotional Materials: PredictionXBT may create and distribute the following types of Promotional Materials featuring Partner Brand elements:

X (Twitter) posts, including original posts, retweets, quote retweets, and replies
Social media graphics and visual content
Platform announcements and notifications
Newsletter content and email communications
Blog posts and written content on Platform-owned channels
Prediction markets created from Partner's public X posts (subject to Section A3)
Co-branded marketing campaigns as mutually agreed
Press releases and media communications referencing the partnership

A2.3 Restrictions: PredictionXBT agrees NOT to use Partner Brand elements in any manner that:

Implies Partner endorsement of specific market outcomes or betting positions
Misrepresents the nature or scope of the partnership
Associates the Partner with illegal or unethical activities
Materially alters or distorts the Partner's brand elements without consent
Uses private, restricted, or non-public Partner content

A3. Public X Posts and Market Creation

A3.1 Public Posts Only: PredictionXBT exclusively creates prediction markets from public X posts. Under no circumstances will the Platform create markets based on private, restricted, deleted, or non-public content. Marketing Partners acknowledge and agree that:

Any public X post made by the Partner may be selected by Platform users to create a prediction market
The Platform does not control which public posts are selected for markets by its users
Market creation is a user-driven, permissionless function of the Platform
The Partner retains all intellectual property rights in their original X posts

A3.2 Partner's IP Reservation: Nothing in this Addendum or the Terms transfers ownership of Partner Content or Partner Brand to PredictionXBT. The Partner reserves all intellectual property rights in their content. PredictionXBT's use of public X posts for market creation and promotional purposes constitutes a limited, non-exclusive license for Platform functionality and marketing purposes only.

A4. Automated Platform Operations and Liability Shield

A4.1 Automated and AI-Generated Content: Marketing Partners acknowledge and agree that the Platform operates primarily through automated and AI-based systems. All market creation, resolution criteria, content display, and promotional materials referencing Partner Content are generated automatically by the Platform's AI systems without direct human curation or editorial control by PredictionXBT. As such:

PredictionXBT does not manually review, approve, or curate individual markets or content derived from public X posts
Any use, interpretation, or display of Partner Content on the Platform is the result of automated AI processing
Market outcomes and resolutions are determined by AI systems based on publicly available information
PredictionXBT exercises no editorial judgment over how Partner Content is interpreted or displayed by automated systems

A4.2 Complete Partner Protection: Given the automated nature of Platform operations, Marketing Partners shall bear absolutely no liability whatsoever for any aspect of Platform operations, including but not limited to:

The accuracy, outcome, or resolution of any prediction market, regardless of whether it references Partner Content
Any AI-generated interpretations, summaries, or derivatives of Partner's public X posts
User losses, gains, or any financial outcomes from Platform participation
Technical issues, AI errors, system failures, or Platform malfunctions
Any automated interpretation of Partner's public posts by Platform systems or users
Content moderation or lack thereof by automated systems
Any promotional materials automatically generated that reference the Partner

A4.3 Disclaimer of Partner Endorsement: The existence of a marketing partnership does not constitute Partner endorsement of the Platform, any specific prediction market, betting outcome, financial product, investment strategy, or AI-generated content. Marketing Partners are not responsible for and do not endorse any automated outputs of the Platform.

A4.4 Mutual Understanding: Both parties acknowledge that due to the automated and AI-driven nature of the Platform, outcomes may be unpredictable and beyond the direct control of either party. Neither PredictionXBT nor Marketing Partners shall be held liable for unintended consequences arising from AI-generated content, automated market creation, or algorithmic resolution processes.

A5. Extended Limitation of Liability for Marketing Partners

A5.1 Extension of Section 10 Protections: All limitations of liability set forth in Section 10 of the main Terms of Service are hereby extended to Marketing Partners. Specifically:

To the fullest extent permitted by law, Marketing Partners, their affiliates, officers, directors, employees, agents, and representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the Platform's operations, marketing activities, or any user's use of the Platform, even if advised of the possibility of such damages.
Marketing Partners shall have no liability for any losses, damages, or claims arising from prediction markets, betting outcomes, Platform systems, or any other Platform functionality.
Users of the Platform expressly waive any and all claims against Marketing Partners related to their use of the Platform or participation in prediction markets.

A5.2 No Warranties by Marketing Partners: Marketing Partners make no warranties, express or implied, regarding the Platform, its functionality, prediction markets, or any outcomes. Marketing Partners' participation in promotional activities does not constitute any representation or warranty about the Platform's reliability, accuracy, or suitability for any purpose.

A5.3 Third-Party Beneficiary Rights: Marketing Partners are intended third-party beneficiaries of the limitation of liability and disclaimer provisions in both the main Terms and this Addendum, and may enforce such provisions directly against Platform users.

A6. Termination of Marketing Partnership

Either party may terminate a marketing partnership arrangement upon thirty (30) days written notice. Upon termination:

PredictionXBT shall cease creating new Promotional Materials featuring Partner Brand elements within a reasonable time
Existing prediction markets derived from Partner's public posts may continue to operate until resolution
All liability protections in this Addendum shall survive termination with respect to activities occurring during the partnership period
Partner's IP rights remain fully reserved and unaffected

A7. Miscellaneous Addendum Provisions

Entire Agreement: This Addendum, together with the main Terms and any separate written partnership agreements, constitutes the complete agreement regarding marketing partnerships.
Amendments: This Addendum may only be modified by written agreement between PredictionXBT and the specific Marketing Partner affected.
Governing Law: This Addendum is governed by the same law governing the main Terms.

By entering into a marketing partnership with PredictionXBT, Marketing Partners confirm their understanding and acceptance of this Addendum, including the IP protections, liability shields, and the scope of permitted promotional activities outlined herein.
